1. Introduction

Welcome to VitalityNode ("we," "our," or "us"). By accessing or using our website at vitalitynode.com and related services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

Operator: The Service is operated by Alexander Sokol, doing business as "VitalityNode", located at 25/9, MOO.6, Bo Phut, Ko Samui, Surat Thani, 84320, Thailand.

2. Eligibility and Age Restriction

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

3. Description of Service

VitalityNode provides software tools and data-processing services for online businesses and accounting professionals. The Service currently includes:

  • Merchant Center Feed Scanner: Analyzes product feed files (CSVs) for potential errors, schema mismatches, and compliance issues relative to Google Merchant Center policies. Offered as a Free Sample Scan (a limited sample of products) and a Full Audit (Pro) (all products, extended checks, with PDF and CSV reports).
  • Bank Statement Extraction: Converts PDF bank statements you submit into a categorised, reconciled CSV. Each job is checked by a person, and the extracted totals are reconciled against the opening and closing balances printed on the statement before the file is returned.

4. Disclaimer of Affiliation

VitalityNode is an independent software tool and is not affiliated with, endorsed by, or sponsored by Google LLC or any of its subsidiaries. "Google Merchant Center" is a trademark of Google LLC. Any references to Google products or services are made solely for the purpose of describing the functionality of our tool. Likewise, VitalityNode is not affiliated with, endorsed by, or sponsored by Xero Limited, Intuit (QuickBooks), or any other accounting-software provider; any such names are trademarks of their respective owners and are used only to describe compatibility.

5. Payments and Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries related to billing and handles returns. All prices are displayed inclusive of applicable taxes, which are calculated and collected by Paddle based on your location.

During promotional or beta periods, we may offer the Service (or parts of it) free of charge. We reserve the right to introduce, change, or discontinue pricing at any time with reasonable notice.

6. User Accounts

You may be required to register an account to access certain features, including Full Audit reports. You agree to:

  • Provide accurate and complete registration information.
  • Maintain the confidentiality of your account credentials.
  • Notify us immediately of any unauthorized use of your account.

You are responsible for all activity that occurs under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

7. Acceptable Use Policy

You agree not to use the Service to:

  • Upload files containing malware, viruses, or malicious code.
  • Attempt to overload, disrupt, or interfere with the Service or its infrastructure.
  • Use automated scripts, bots, or scrapers to access the Service without our written permission.
  • Upload data that you do not own or have the right to process.
  • Circumvent any access controls, rate limits, or security measures.
  • Resell, redistribute, or commercially exploit the Service or generated reports without our written permission.
  • Use the Service for any illegal purpose or in violation of any applicable law.

We reserve the right to suspend or terminate your access to the Service if we reasonably believe you are violating this Acceptable Use Policy, without prior notice and without liability.

8. Data Usage

By submitting a file to the Service — whether a product feed (CSV) or a bank statement (PDF) — you grant us a temporary, non-exclusive licence to process that data solely for the purpose of delivering the result you requested (an audit report or an extracted CSV). We do not sell your data to third parties. Uploaded product feeds are deleted within 24 hours after report generation; bank statements and their extracted output are deleted within 7 days of delivery. Please refer to our Privacy Policy for full details on data handling, including the respective roles of the parties.

9. Intellectual Property

Our Content: The Service, including its design, code, algorithms, reports format, branding, and documentation, is owned by VitalityNode and protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission.

Your Content: You retain all rights to the data you upload (product feeds). The generated reports (PDF, CSV) are provided to you for your own business use. You may share reports within your organization but may not resell them as a standalone product.

Feedback: If you provide feedback, suggestions, or ideas about the Service, we may use them without obligation to compensate you.

10. No Guarantee of Results

VitalityNode is an analytical tool, not a guarantee of compliance or reinstatement. We identify technical errors based on publicly available data and best practices. However, Google's algorithms and policies are proprietary and subject to change. We do not guarantee that fixing the issues found by our tool will result in the approval or reactivation of your Google Merchant Center account.

Scan results are provided "as is" based on the data available at the time of the scan. Website content, prices, and availability may change between the time of the scan and when you review the report.

For the Bank Statement Extraction service, we take care to reconcile the extracted totals against the opening and closing balances printed on each statement and to have every job checked by a person before it is returned. Nonetheless, the output is provided to assist your bookkeeping and does not replace your own professional review. You remain responsible for verifying the figures before relying on them for accounting, tax, or filing purposes.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VITALITYNODE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, RESULTING FROM YOUR ACCESS TO OR USE OF THE SERVICE.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or USD $50, whichever is greater.

12. Termination

By You: You may stop using the Service and delete your account at any time by contacting us at [email protected].

By Us: We may suspend or terminate your access to the Service at any time, with or without cause, including if we reasonably believe that you have violated these Terms or the Acceptable Use Policy. We will make reasonable efforts to notify you in advance, except in cases of serious violations.

Upon termination, your right to use the Service ceases immediately. Sections 9 (Intellectual Property), 11 (Limitation of Liability), 14 (Governing Law), and 15 (Dispute Resolution) survive termination.

13. Modifications to Terms

We may update these Terms from time to time. When we make material changes, we will:

  • Update the "Last updated" date at the top of this page.
  • Notify registered users via email at least 14 days before the changes take effect.

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you should stop using the Service and delete your account.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Thailand, without regard to its conflict of law provisions. This choice of law does not deprive consumers in the European Union of the protection afforded by mandatory provisions of the law of their country of residence.

15. Dispute Resolution

Informal Resolution: Before filing any formal claim, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.

Jurisdiction: If an informal resolution is not reached, any disputes arising from or relating to these Terms or the Service shall be submitted to the exclusive jurisdiction of the courts of Surat Thani Province, Thailand.

EU Consumers: If you are a consumer in the European Union, you may also bring proceedings in the courts of your country of residence. You may also use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
